Tetra Tech is currently seeking a Legal Assistant to work in our Pasadena, CA corporate headquarters. In this position, you will support the Corporate Legal and Risk Management Departments with all stages of corporate transactions. The ideal candidate will have experience in a corporate role and will be a self-starter that is legal savvy and has extraordinary organizational skills. The pay scale for this position is $31.25-$36.06 an hour, based on qualifications and experience.
Your Role:
- Prepare documentation for formations, amendments, annual filings, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies
- Prepare U.S. and non-U.S. corporate governance documents including secretary certificates, officer and director appointments, resolutions, minutes, and other documentation related to corporate secretarial requests
- Maintain corporate minute books for entities
- Perform annual audits of entities - maintain accuracy of electronic entity database (hCue), identify entities for dissolutions, clean-up of officers and directors, and housekeeping
- Manage process for formation and dissolution of international entities
- Draft and review power of attorney, certifications, and other documents required for international registrations, bank accounts, and client processes
- Liaise with local international outside counsel on various issues
- Assist business units with specific international filing requests
- Coordinate document legalization requests
- Maintain corporate and litigation management system, including legal e-billing
- Manage oversight of surety and license bonds company wide
- Prepare quarterly reports for all litigation and claim matters
- Assist in coordinating periodic updates for litigation and claim matters
- Perform legal and other research as requested
- Assist other colleagues in department as needed
Qualifications:
- Bachelor’s Degree preferred
- 5+ years of experience, preferably as part of an in-house corporate legal team
- Proactive, highly organized, and detail-oriented individual with the ability to multi-task and consistently meet aggressive and time-sensitive deadlines
- Outstanding verbal and written communication skills to effectively work with various departments and levels within the company
- Attention to detail and follow up skills are a must
- Notary Public required
- Strong PC skills (Microsoft Word, Excel, PowerPoint, Outlook) as well as working knowledge of Legal Tracker, hCue, and Visio
